These Terms of Service ("Terms") are an agreement between you and Swonkie, Lda. ("Swonkie", "we", "us") about your use of Rizamo, including the website at rizamo.com, the web app, the REST API, the MCP server, the CLI and the documentation (together, the "Service"). Rizamo is a product and trademark of Swonkie.
By creating a team, connecting an account, using an API key or otherwise using the Service, you accept these Terms. If you accept them for a company or other organisation, you confirm that you can bind it, and "you" means that organisation.
1. Who we are
Swonkie, Lda., a private limited company (sociedade por quotas) registered in Portugal under the single registration and tax number (NIPC) 514107502, VAT PT514107502, with its registered office at Rua do Progresso, n.º 140, 2.º andar, Fração BS, Vilarinho das Cambas, 4760-841 Vila Nova de Famalicão, Portugal. Contact: hi@rizamo.com.
2. Definitions
- Team: your login, the people you invite, and everything they own together: billing, API keys, webhooks and custom field definitions.
- Profile: a group of Accounts inside your Team, such as a brand, a client of an agency or an End User of your application.
- Account: a social media account, page, channel or location you connect to Rizamo. We bill per connected Account.
- Network: a third-party platform you connect an Account from, such as Instagram, Facebook, TikTok, Threads, LinkedIn, YouTube, Google Business Profile, Pinterest or X.
- Agent: any AI agent, assistant, script or automation that uses the Service on your behalf, through the API, the MCP server, the CLI or an integration.
- Customer Data: everything you or your Agents put into the Service or have it fetch for you, including posts, media, custom fields and the content, comments, messages, reviews and metrics of your Accounts.
- Customer Application: a product or service you build on the Service and offer to others.
- End User: a person or business that uses a Customer Application, including anyone who connects an Account through it.
3. Who can use Rizamo
The Service is for business and professional use. You must be at least 18 years old and able to enter into a binding contract. You may not use the Service if you are barred from doing so under the laws that apply to you, including sanctions and export laws.
You must give us accurate information when you sign up and keep it up to date.
4. Your team, API keys and Agents
You are responsible for everything that happens in your Team, including actions taken by the people you invite, by anyone using your API keys and by the Agents you connect. Keep your credentials and API keys secret, limit each key to the Profiles and scopes it needs, and rotate or delete keys you no longer use. Tell us at hi@rizamo.com as soon as you suspect unauthorised access.
You can sign in to the MCP server with OAuth or an API key. Anything an Agent does with that access is treated as done by you.
5. The Service
Rizamo lets you and your Agents publish to Networks, keep the state of each post in custom fields, read analytics, manage comments, messages and reviews, and receive webhooks when something changes. What each Network supports is described on our channel pages and in the documentation.
We improve the Service continuously and may add, change or remove features. If we remove a material feature you pay for, we will tell you in advance where we reasonably can.
Features marked as beta, preview or early access are provided as they are, may change or stop at any time and are not covered by any service commitment.
Unless we agree otherwise in writing, we do not offer a service level agreement. We publish incidents and maintenance on our status page.
Network changes. Rizamo depends on the APIs of the Networks. If a Network stops making its API, or part of it, available to us on reasonable terms, we may change or stop the related features. This does not entitle you to a refund, credit or other compensation, except as set out in section 14.
6. API and MCP use
- Respect the rate limits and quotas in the documentation. Do not try to get around them, and do not try to get around the limits of any Network.
- Do not share API keys outside your organisation or embed them in code that runs on End Users' devices.
- Do not use the Service to scrape Networks, to test their security, or to send load that degrades the Service for others.
- We version the REST API. We will give at least 90 days' notice before removing or breaking a stable version, unless a Network, the law or a security issue forces a shorter period.
- We may suspend API or MCP access immediately if your use threatens the Service, a Network's relationship with us, or other customers.
7. Applications you build on Rizamo
If you offer a Customer Application, you are responsible for it and for your End Users. In particular, you must:
- Have your own terms of service and privacy policy, at least as protective of End Users as ours and as those of each Network they use.
- Get the express, informed consent of each End User before you connect their Account or act on their behalf.
- Follow the developer terms and policies of every Network your application uses, including the rules they set for screens where people post, such as YouTube's upload notice and TikTok's content sharing guidelines.
- Make sure End Users do not breach these Terms, our Acceptable Use Policy or the terms of the Networks.
- Pass on, without delay, any request from an End User to delete their data or disconnect their Account, and use the tools we provide to do it.
Where a Network requires it, we may ask your End Users to accept that Network's terms, or share the information a Network asks for about your application.
8. Networks
Your use of each Network is governed by that Network's own terms, and you must follow them:
- YouTube Terms of Service and Google Privacy Policy
- Meta Terms, Instagram Terms of Use and Threads Terms of Use
- TikTok Terms of Service
- LinkedIn User Agreement
- Google Business Profile policies
- Pinterest Terms of Service
- X Terms of Service
By using Rizamo to access YouTube, you agree to be bound by the YouTube Terms of Service.
Networks are independent of us. They may change their APIs, limit or remove features, moderate or remove content, or suspend Accounts. We are not responsible for what Networks do, and we cannot guarantee that a Network will accept, publish or keep any content. If a Network requires us to, we may suspend your access to that Network through Rizamo.
9. AI agents and automated actions
Rizamo is built for Agents, and Agents make mistakes. You decide which Agents you connect, what they can do, and whether a person reviews their work before it is published. You are responsible for every post, reply and other action your Agents take, and for disclosing AI-generated or AI-edited content where the law or a Network requires it.
We do not provide the models your Agents run on. Data you send to an Agent or a model provider is governed by your agreement with them.
10. Your content and data
You own Customer Data. You give us a worldwide, non-exclusive licence to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service and to follow your instructions, including your Agents' requests.
You confirm that you have the rights and consents needed for the content you publish and the data you bring into the Service.
We do not sell Customer Data, and we do not use it to train AI models. We may use aggregated, de-identified statistics about how the Service is used, for example API latency or the number of posts per Network, to run and improve the Service. These statistics never identify you, your End Users or the people who interact with your Accounts.
11. Acceptable use
You must follow our Acceptable Use Policy. It forms part of these Terms.
12. Free plan
Your first 2 connected Accounts are free. We may set limits on the free plan, change it, or end it for new or inactive Teams with reasonable notice. We may delete free Teams that have been inactive for 12 months after warning you by email. Creating several Teams to stay within the free plan is not allowed.
13. Fees and billing
Price. Paid plans are charged per connected Account at the prices on our pricing page when you subscribe. You can pay monthly or yearly by card through our payment provider. Prices do not include taxes. We add VAT or other taxes where the law requires it, and you pay any withholding taxes.
Billing. Subscriptions renew automatically at the end of each period until you cancel. We charge in advance for the Accounts connected at the start of the period. If you connect more Accounts during a period, we charge the difference, prorated, on your next invoice. Removing Accounts lowers the next invoice; it does not create a refund for the current period.
Price changes. We will give you at least 30 days' notice before a price increase takes effect. If you prepaid for a year, the new price applies from your next renewal.
Late payment. If a payment fails, we will tell you and retry. If it is still unpaid 14 days after our first notice, we may suspend paid features until it is paid. Undisputed amounts must be paid even if you dispute part of an invoice.
Enterprise. If you have a signed order form, its terms (for example invoicing and payment within 30 days) take precedence over this section.
14. Cancellation and refunds
You can cancel at any time in the web app. Cancellation takes effect at the end of the current billing period, and you keep access until then.
Fees are not refundable, except:
- If we make a change to these Terms or the Service that materially harms you, and you tell us within 30 days of the change and close your Team, we refund the prepaid fees for the remaining period, pro rata.
- If we charged you by mistake, or the Service was unavailable for a long period because of us, we will make it right with a refund or a credit.
- Where the law requires a refund.
15. Suspension and termination
We may suspend or terminate your access, or remove content from the Service, if you breach these Terms or the Acceptable Use Policy, if a Network or the law requires it, if you do not pay, or if your use creates a security or legal risk for us, other customers or the Networks. Where we reasonably can, we will tell you first and give you a chance to fix the problem.
You may stop using the Service and delete your Team at any time.
When your Team is closed, you can export Customer Data for 30 days, unless the law or a Network requires us to delete it sooner. After that we delete it as described in our Privacy Policy.
Sections 10, 16 to 20, 23 and 24 survive the end of this agreement.
16. Confidentiality
Each of us will protect the other's non-public information shared under these Terms with at least reasonable care, use it only for this agreement, and share it only with people who need it and are bound by similar duties. This does not cover information that is public, already known, independently developed or received lawfully from someone else. Either of us may disclose information when the law requires it, after notifying the other where allowed.
17. Intellectual property and feedback
We own the Service, including the software, the API, the documentation and the Rizamo name and logo. These Terms give you the right to use the Service during your subscription and nothing more. You may not copy, resell, sublicense or white-label the Service, or build a competing product by copying it, without our written agreement. Building a Customer Application on the API, under section 7, is allowed.
If you send us ideas or feedback, we may use them freely without any obligation to you.
18. Disclaimers
We work hard to keep the Service reliable, but it is provided "as is" and "as available". To the extent the law allows, we make no warranties beyond those in these Terms, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Service will be uninterrupted or error free, that every post will be published at the exact time scheduled, or that analytics reported by Networks are complete or accurate.
19. Limitation of liability
To the extent the law allows:
- Neither of us is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, goodwill or data, even if warned they might happen.
- Our total liability arising from or related to these Terms in any 12-month period is limited to the greater of the fees you paid us in the 12 months before the event that gave rise to the claim, or 100 US dollars.
These limits do not apply to liability for wilful misconduct or gross negligence, to death or personal injury caused by negligence, to your payment obligations, to your obligations under section 20, or to any other liability that cannot be limited by law.
20. Indemnity
You will defend and indemnify Swonkie against third-party claims, and the related losses, fines and reasonable costs, that arise from your content or Customer Data, your Agents' actions, your Customer Applications or your End Users, or your breach of these Terms, the Acceptable Use Policy or a Network's terms. We will tell you promptly about the claim, let you control the defence, and help you reasonably at your cost. You may not settle a claim in a way that admits fault on our part without our consent.
21. Data protection
Our Privacy Policy explains how we handle personal data. When we process personal data on your behalf, our Data Processing Agreement applies automatically and forms part of these Terms.
22. Changes to these Terms
We may update these Terms. We will tell you about material changes by email or in the web app at least 30 days before they take effect, unless the change is required sooner by law or a Network. A change takes effect on the earliest of: your acceptance, your continued use after the notice period, or 30 days after we publish it. If you do not agree, you can cancel before it takes effect, and section 14 applies.
23. Governing law and disputes
These Terms are governed by the laws of Portugal, without regard to conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The courts of the judicial district of Braga, Portugal, have exclusive jurisdiction, except that either of us may seek urgent relief in any competent court. Nothing in this section removes rights you have under mandatory law where you are based.
Before going to court, please write to hi@rizamo.com. Most problems are solved faster that way.
24. General
These Terms, together with the documents they refer to and any signed order form, are the whole agreement between us about the Service. You may not transfer this agreement without our consent; we may transfer it to an affiliate or to a successor of our business. If a provision is found unenforceable, the rest stays in force. Neither of us is liable for delays caused by events beyond reasonable control, such as Network outages or failures of internet infrastructure. A failure to enforce a right is not a waiver. We may send notices by email to the owner of your Team or in the web app. If these Terms are translated, the English version prevails.
